RecipientandNAAIP desire toexchange certainconfidential informationinorderto assistRecipientwithparticular researchinformationpertainingto Recipient’scircumstances.The NAAIP wishestomaintainthe confidentialityof the material andinformation exchangedanddisclosedtoyou; 1. DEFINITION OFCONFIDENTIALINFORMATION:“Confidential Information”meansinformation toinclude formulae,patterns,compilations,programs, special andofficial contactsandinformations,forms,internal conversations, documents, meetings, devices,methods, techniquesand processesof tribal, national international,commercial, andeconomicvalue, actual or potential,fromnotbeinggenerallyknownto,and not beingreadilyascertainable bypropermeans, byotherpersonswhocanobtaineconomicvalue fromits disclosure oruse,andincludes,withoutlimitation: NAAIP activities, businessplansandstrategies,marketing plansand information,oranydocumentation, informationconcerningbusinessrelationships, recipientand disclosurerinformation, employee/volunteer/consultant information,financialdata,proposedproducts, descriptionsof inventions,processdescriptions, descriptionsof technical know-how,engineeringandtechnical plans, specificationsanddocumentation, security, discoveriesandtrade secretsandotherrelatedmaterials, and informationdisclosed by “You”to anotherunauthorized orauthorized Recipientpursuanttothis Agreement;Confidential Informationmaybe written, oral,expressedinelectronicmedia,orotherwise disclosed,andmaybe tangible orintangible.Allmaterialsandinformationdisclosedby “You”to unauthorized or authorized thirdparties pursuanttothisAgreementwillbe presumedto be Confidential Informationandwill be so regardedbythe NAAIP,unless “You”can prove thatthe materialsandinformationare not Confidential Information because of the applicationof clause 3below. 2. OBLIGATIONSCONCERNINGCONFIDENTIALINFORMATION:The Recipient(“You”) (“the ReceivingParty”) of Confidential Informationfrom the otherparty (NAAIP) (the“DisclosingParty”) agrees:(i)thatyouwill maintain and preserve the confidentialityof suchConfidential Information,including,withoutlimitation,takingsuch stepsto preserve the confidentialityof the Confidential Information,asDisclosingParty willpreserve the confidentialityof itsownconfidentialinformation,andinnoeventlessthanreasonable protectivesteps;(ii) that DisclosingParty will disclosesuch Confidential Informationto Recipientona “need-to-know”basis, and onlyforthe purposescontemplatedbythisAgreement andauthorizedforrelease by NAAIP authorized representative(s)whois/are authorizedtomake suchdisclosures,andonlyto Recipientwhohasagreedto maintainthe confidentialitythereof;(iii) thatitwill notdisclosesuchConfidential Informationtoanythirdparty withoutthe expresswrittenconsentof the DisclosingParty;and(iv) thatReceivingParty will use such

Confidential Informationsolelyinitsconsiderationof whethertoenterinto thisarrangementwiththe DisclosingParty,andthatReceivingParty will nototherwise use foritsbenefitorthe benefitof anythirdparty any suchConfidential Information. 3. EXCEPTIONS:The obligationsin Clause2above will notapplyto,and Confidential Information,asdefined hereunder,will notincludeinformationormaterials which(i) are alreadyknowntothe ReceivingPartyatthe time that theyare disclosed toorfrom DisclosingParty;or(ii) are publiclyknownatthe time of disclosure to the ReceivingPartybythe DisclosingParty.The obligationsin Clause 2above will cease astoparticular Confidential Informationfrom andafterthe date that the particularConfidentialInformation isreleasedby DisclosingParty,uponmutual agreementbetweenReceivingParty and DisclosingParty,orto thirdparty (ies)withdisclosurerestrictionsagreedupon bybothReceivingParty and DisclosingParty, andwithout knowledge orreasonable suspicionthat disclosure to thirdpartyisinbreach of any obligationstothe Receiving Party and DisclosingParty;or(iii)hasbeenapprovedforpublicrelease bywrittenauthorizationof the DisclosingParty. 4. CONFIDENTIALITYOFTHIS AGREEMENT: ReceivingPartyandDisclosingParty agree tomaintainthe confidentialityof the existenceandtermsof this Agreement. 5. REQUIRED LEGAL DISCLOSURE: Notwithstanding clauses2and 4 above,aRecipientpartymaydisclose Confidential Informationorthe existence of thisAgreementtothe extentrequired byany applicable law, regulationorcourt; providedhoweverthatthe RecipientPartywill notifythe DisclosingParty promptlyafter becomingaware of itsobligationtomake suchdisclosure andwill permitthe DisclosingParty toseekto challenge, orlimitsuchrequireddisclosure. 6. VIOLATION ANDBREACHOF THIS AGREEMENT: The Recipientishereby“Noticed”thatviolationsorbreachesin any mannerof thisAgreementherein will resultinimmediate terminationof Agreementandcessationof all communicationsandagreements. 7. RETURN OF INFORMATION:Inthe eventof terminationof thisAgreement,all documentationandtangible expressionsshall remainthe propertyof NAAIPandwillnotbe returnedtothe Disclosing Party. 8. NO LICENSEGRANTED: The NAAIP and“You” agree that nothingcontainedinthisAgreement willbe construed as grantingany privileges,immunities,and rights, bylicense orotherwise,toanyConfidentialInformation, exceptasexpresslysetforthherein. 9. MISCELLANEOUS: None of the Confidential Information, which is disclosed by the Disclosing Party, shall constitute any representation, warranty, assurance, guarantee or inducement by the Disclosing Party to the Receiving Party, including, without limitation, with respect to the infringement of trademarks, patents, copyrights or any rights of privacy or any rights of any third party. Each party agrees that money damages would be adequate compensation for breach of this Agreement. Accordingly, each party hereby consents in advance to the entry by a court of competent jurisdiction of equitable relief (including an injunction that enjoins the breaching party from disclosing or using Confidential Information) to enforce the terms hereof. Both partieshereinagree that proper venue for litigation is the District Court of the United States of America should litigation arise. In the event of any litigation or other proceedings before an adjudicative authority arising out of, or related to this Agreement, the non-prevailing party shall pay the reasonable attorneys fees and expensesof the prevailingparty incurred therein. This Agreement sets forth the entire agreement of the parties concerning the subject matter hereof and, in conjunction with October 4th Agreement signed by all
  • 3. parties, supersedes all prior agreements, understandings and negotiations between the parties. All amendments orexceptionstothisAgreementmustbe inwritingandagreeduponbysignatures and witnesses of both parties.
