Preventive Maintenance Service Contract ITRM Computer Associates www.itrmcomputer.com 184 Balignac Ave., Woodlyn, PA 19094 (215) 327-3229 Terms and Conditions of Preventive Maintenance Service Contract ITRM Computer Associates (hereunder referred to as the Company) agrees to maintain the computer(s) listed in this contract. Preventive Maintenance Service Contracts are subject to all computers being checked at Client’s location by Company technician as operational and confirmed in “Good health”. Company reserves the right to decline Preventive Maintenance Service Contract to Client due to computer’s physical condition or operating system instability. One Preventative Maintenance Contract per computer. Additional Plan cost applies to any additional computer(s). Preliminary onsite evaluation of computer(s) by Company technician will include • Recording computer model and serial number. • Verification of operating system. (Will not service “dual boot” systems) • Verification of computer processor model and speed (Intel or AMD) • Verification of Hard Disk size (total size and free space available) • Verification of RAM (amount installed) • Verification of installed Virus and/or Spyware software. • Verification of additional software installed (MS Office, MP3 players, etc.) 1. PLANS Plan A $75.00 monthly per computer, due at 1st of every month** • Unlimited email support (8:00 AM to 8:00 PM) • Unlimited phone support (8:00 AM to 8:00 PM) • Remote Control support once a month to run the following maintenance programs.* Virus Scan Malware, Spyware and Adware scan(s) Defragmentation Plan B $150.00 monthly per computer, due at 1st of every month. • Unlimited email support (8:00 AM to 8:00 PM) • Unlimited phone support (8:00 AM to 8:00 PM) • 4 Onsite visits per month if needed*** • Remote Control support once a month to run the following maintenance programs.* Virus Scan Malware, Spyware and Adware scan(s) Defragmentation *This service is contingent upon individual customer ownership of licensed software (Antivirus, Spyware, etc.). By accepting either maintenance plan, customer expressly permits ITRM Computer Associates to access their computer remotely within a private network or without. This method will require port forwarding within the router and remote access enabled through “Microsoft Windows XP Remote Desktop”. **Plan A does not include onsite visits, which would be charged at normal rates above the cost of the plan. 1

PAYMENT Customer (hereunder referred to as Client) agrees to make payment before the 1St of the month for which the client is purchasing the monthly Preventative Maintenance Service Contract. (I.e. Payment received by Jan 28 will provide monthly maintenance coverage for the full month of February). 3. CONFIDENTIAL INFORMATION All information relating to Client that is known to be confidential or proprietary, or which is clearly marked as such, shall be held in confidence by Company and shall not be disclosed or used by Company except to the extent that such disclosure or use is reasonably necessary to the performance of Company’s work. 4. LIMITATION OF LIABILITY In no event shall Company be liable for any loss of profit or revenue by Client, or for any other consequential, incident, indirect or economic damages incurred or suffered by Client arising as a result of or related to Company’s work, whether in contract, tort, or otherwise, even if Client has been advised of the possibility of such loss or damages. Client further agrees that the total liability of Company for all claims of any kind arising as a result of or related to this agreement, or to any act or omission of Company, whether in contract, tort or otherwise, shall not exceed an amount equal to the amount actually paid by Client to the Company for Company’s work during the twelve (12) month period preceding the date the claim arises. Client shall indemnify and hold Company harmless against any claims by third parties, including all costs, expenses and attorney’s fees incurred by Company therein, arising out of or in conjunction with Client’s performance under or breach of this contract. 5. NEGLECT Damage to the computer, due to misuse, theft, neglect, accident, tempest, fire, flood, earthquake or other similar cause is in no circumstance covered by this contract. 6. RESULTING DAMAGE The Company will attempt to respond promptly and effectively to calls for service. It will be under no liability for the loss or damage of any description (computer data included) resulting on the Company’s failure to act promptly. 7. LABOR The Preventative Maintenance Service Contract includes the cost of all labor. Internal and external parts are excluded from contract. Parts are customer’s expense. 8. ALTERATIONS TO COMPUTER(S) Customer agrees to contact Company prior to any additions, alterations, modifications or repairs by anyone other than authorized Company representatives or such technicians employed by the Client. The obligations under this contract of ITRM Computer Associates to provide maintenance service does not extend to cover maintenance replacement and repairs necessitated by additions, alterations, modifications or repairs not authorized by ITRM Computer Associates; Equipment being used in a manner not in accordance with the instructions and recommendations of Company; negligence of equipment; damager caused by storms, fires, tempest, floods, earthquakes, riots, explosions, accidents and other things beyond the control of ITRM Computer Associates. 2
